Terms of Sale & Service

These terms govern your purchase and use of Cadence reports, subscriptions and the Cadence Skill from KWL. By placing an order or using the service, you agree to them.
1. Who we are
Cadence is provided by KWL Intelligence Pte. Ltd. (“KWL”, “we”, “us”), registered in Singapore (No. 201525543R). “You” means the organisation purchasing or using the service.
2. What we provide
- Cadence Report — a one-off behavioural read for one market and one quarter, delivered as web and PDF, including the Cadence Skill for that market.
- All markets — an annual subscription covering all live European markets, the European control room, the Cadence Skill across those markets, and the quarterly history as it accumulates.
- Enterprise — a private or white-label instance with bespoke markets, integrations and a separate service agreement, which prevails over these terms where it differs.
- Cadence Skill — a hosted connection (a Claude connector, a ChatGPT custom GPT, or any MCP client) that makes the relevant Cadence read queryable inside your own AI tools, scoped to your tier.
3. A read, not a forecast
Cadence is a descriptive decision-support product. It reads how a market is behaving now: mood, attention, search and watching, set against official context.
It is not a forecast and not financial, investment or trading advice. We have pre-registered and published tests of whether the signal predicts demand, including the ones that failed, and we do not claim predictive power. You remain responsible for the decisions you make using a read.
4. Orders and pricing
Prices are shown in pounds sterling (GBP) and exclude any applicable taxes, which we add where required. A contract forms when we accept your order or issue your invoice. We may correct obvious errors and decline or cancel orders.
5. Payment
Reports may be paid by card or invoice; subscriptions are invoiced annually in advance. Invoices are payable within the period stated on them. Access opens once payment is received, typically within one business day, and continues for the paid term.
6. Subscriptions, renewal and cancellation
Annual subscriptions run for twelve months and renew unless you tell us otherwise before the renewal date. You can cancel at any time; cancellation takes effect at the end of the current paid term, and access continues until then.
7. Refunds
- One-off reports: if a report does not earn its keep, tell us within 14 days of delivery and we will refund it in full, no questions asked.
- Subscriptions: you may cancel future renewals at any time; fees already paid for the current term are non-refundable except where required by law.
8. Licence and intellectual property
We grant you a non-exclusive, non-transferable licence to use the reports, data and Skill for your own internal business purposes for the term you have paid for. You may share outputs within your organisation and use them in your own work and client deliverables, with attribution where reasonable.
You may not resell, sublicense, republish or redistribute the reports or data as a standalone product, or use them to build a competing dataset. White-labelling and onward distribution are available only under an Enterprise agreement. All intellectual property in Cadence, including the methodology, software and presentation, remains ours.
9. Acceptable use of the Skill
The Cadence Skill is licensed for use within your own AI environment, scoped to your tier. You may not share credentials or access outside your organisation, attempt to extract the underlying dataset in bulk, or use the Skill to recreate or compete with the service.
10. Data protection
Our handling of personal data is described in our Privacy Policy. The Cadence data products contain no personal data and rely on public and official sources, which keeps the service low-risk to procure.
11. Warranties and disclaimers
We provide the service with reasonable skill and care and source every figure to a named public or official origin. Beyond that, and to the extent the law allows, the service is provided “as is”: we do not warrant that a read will be error-free or fit for any particular decision or outcome.
12. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, our total liability arising from the service is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential loss, or for lost profits, revenue or opportunity.
13. Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform or receive the service. Bespoke Enterprise deliverables are treated as your confidential information.
14. Term and termination
These terms apply for as long as you use the service. Either party may terminate for material breach that is not remedied within a reasonable period. On termination, your licence ends and you stop using the reports, data and Skill, save for outputs already incorporated into your work.
15. Governing law
These terms are governed by the laws of Singapore, and the courts of Singapore have jurisdiction, without affecting any mandatory consumer or data-protection rights you have where you are based.
16. Changes
We may update these terms; the version in force is the one published when you place an order. The “last updated” date above reflects the current version.
